With more than 40 years of experience in the successful practice of law to his credit, Mr. Densmore serves as counsel with Cowan Perry PC, where he specializes in securities law, corporate finance, banking law, mergers and acquisitions, and commercial law. His clients include privately owned businesses, public companies and small and large financial institutions. Additionally, he frequently serves as a lecturer on corporate matters, including corporate governance, banking regulations, securities compliance, mergers and acquisitions and finance. In his spare time, he gives back to his community as a Board member of the Virginia Community Development Corporation. He is also currently serving his fourth term as a gubernatorial appointee to the Treasury Board of Virginia. In addition to his experience in private practice he served as the first in house counsel at Dominion Bankshares Corporation, at the time a large regional bank holding company, and as general counsel for Advance Auto Parts, a national auto parts retailer.
Mr. Densmore holds a Bachelor of Arts from the College of William and Mary and a Doctor of Jurisprudence from the University of Toledo from which he graduated with honors. Admitted to practice law in Ohio and Virginia, as well as in numerous U.S. District Courts, the 4th Circuit Court of Appeal and the United States Supreme Court, he maintains affiliation with a number of organizations relevant to his practice. He is a member of the Banking Law Committee and the Uniform Commercial Code Committee of the American Bar Association, was a representative of the Virginia Bar Association on the committee which redrafted Virginia's Stock Corporation Act and is a past President of the Roanoke Bar Association. Because of the breadth of his background he has authored numerous papers on corporate, banking and commercial topics and co-authored a law review article, "Examining the Increase in Federal Regulatory Requirements and Penalties: Is Banking Facing Another Troubled Decade?" Mr. Densmore was also the lead counsel on the successful defense of one of the first Sarbanes-Oxley whistle blower cases to be decided by the federal courts.
For his professional accomplishments, Mr. Densmore has been awarded on numerous occasions. In addition to repeatedly being appointed a Virginia Super Lawyer, he has been named to The Best Lawyers in America for his work in banking and finance law, corporate law, financial services regulatory law, and mergers and acquisitions law. A former officer in the Army National Guard, he has also been featured in such professional publications as Who's Who in Finance and Industry, Who's Who in the World and Who's Who in American Law. Looking forward, Mr. Densmore plans to continue his practice at Cowan Perry and mentor younger lawyers.
